  • HSBC Bank Armenia – the first international bank to open in Armenia. The bank is a joint venture between the HSBC Group, which has a 70% ownership, and members of overseas Armenian businesses. Services rendered include:
    • preparation and public registration of the security documents for more than 200 private customers;
    • full legal assistance in loans transactions, including legal counselling on domestic legal aspects of the transactions.
  • KBC Bank Deutschland AG – Services rendered included:
    • Legal due diligence and preparation of a legal opinion re: legality, validity and enforceability of a credit agreement between the Bank for Industry, Construction and Investment (Ardshininvestbank CJSC) and the KBC Bank Deutschland AG.
  • Ameriabank CJSC – a corporate bank with integrated investment-banking and a limited number of retail banking services. Member of the Ameria Group Companies and is among the most rapidly growing banks in Armenia with one of the largest capital.  Services rendered included:
    • performance of legal due diligence for compliance of the bank’s major transaction with the European Bank for Reconstruction and Development.

  • Deutsche Bank AG –  an international universal bank with its headquarters in Frankfurt, Germany and offices in major financial centers including New York, London, Frankfurt, Paris, Moscow, Amsterdam, Toronto, Sao Paulo, Singapore, Hong Kong, Tokyo and Sydney. Services rendered included:
    • performance of legal due diligence relating to Electronic Banking Services the Bank wishes to offer to corporate customers residing in Armenian jurisdiction.

  • Cascade Bank CJSC – provided legal service in relation to the transaction of merger of the cascade Bank and Cascade Credit UCO LLC in 2009. Services included:
    • preparation of formal legal opinion on domestic aspects and effects of the transaction;
    • legal counselling on statutory merger, and legal assistance in merger-related activities.
  • Cascade Investments CJSC – regular legal assistance on a number of corporate matters, such as preparation of protocols of decisions for the Board of Directors, Shareholders’ Meetings, collaboration with the Central Bank of Republic of Armenia, including legal assistance and preparation/filing of legal opinions on the issues raised by the Central Bank, registration of relevant amendments of the companies Charter and Charter capital with the Central Bank.  
  • ARDSHIINVESTBANK CJSC – one of the largest banks in the Republic of Armenia registered since 2003. Services rendered included legal assistance on a number of litigations and filing of appeals to the Court of Cassation of Republic of Armenia. 
  • European Bank for Reconstruction and Development – provided legal service in relation to a transaction of merger of major domestic bank and a credit company. Services included:
    • preparation of formal legal opinion on domestic aspects and effects of the transaction;
    • legal counselling on statutory merger, and legal assistance in merger-related activities.
  • VTB Bank (Russia) – one of the leading universal banks of Russia and the largest in terms of authorized capital. VTB Bank was involved in cross-border loans transactions projects in relation to two Armenian companies, and in co-operation with its Armenian Subsidiary – the VTB Armenia Bank.  In both projects legal services were rendered in cooperation with the Dewey & LeBoeuf LLP. Services rendered include:
    • legal counselling in financial transactions, tax, and legal assessment of the financial projects of the Bank;
    • preparation of legal recommendations on operational documentation;
    • review of loans and security agreements and other relevant documentation.
  • Overseas Private Investment Corporation (OPIC) – a US Government related private corporation carrying out loan transactions outside the United States, which executed Loan Agreement for provision of mortgage loans to a local mortgage company. Services rendered include:
    • provision of legal services in connection with major financing operations in Armenia;
    • preparation of necessary loan related agreements and documents, including but not limited to a Mortgage Loan Rights Pledge Agreement;
    • negotiations and work with the local Borrower, and the public authorities.
  • RENCO CJSC (Italy)– Italian engineering construction services company investing in construction projects in Armenia and carrying out number of public and private construction projects. Services included:
    • negotiations with State authorities on the matters of conclusion of legal documents necessary for the implementation of the investment project in Armenia;
    • provision of legal opinion on legal aspects of the anticipated contracts and transaction;
    • drafting investment agreement, public land sale/purchase contract, and other agreements between the Company and the State;
    • legal assistance obtaining construction and engineering licenses.
  • Caldera Resources Inc.– Diamond, gold and base metals exploration and development company headquartered in Canada engaged in exploration and development of properties in Australia and South-East Europe. Services rendered include:
    • Due diligence of title documents and property exploration licenses and certificates; and
    • preparation of Title Opinion with regard to signing a joint venture agreement with Global Gold Corporation for the development of the Marjan Gold-Silver Deposit, in Armenia.
    • comprehensive legal support in conduct of transactions of share purchase, corporate incorporation and registration in Armenia.
  • Mary Kay Inc. – US cosmetics producer. Services rendered include:
    • Legal consulting on Armenian market entry requirements, procedures, business operation, and risks, including on matters of labor and employment, import and customs clearance, sales force management, trade and taxation, etc.;
    • Preparation of all agreements necessary for the Company’s entry and operation in Armenia;
    • Counselling on applicable policy and procedures.
  • Prochazks/Randl/Kubr – Czech law firm. Services rendered included:
    • Legal and consultancy services related to employment, social security and tax issues relating to the operation of the Czech Airlines branch office in Armenia.
  • Embassy of the Russian Federation – Services rendered included:
    • Provision of a legal opinion re real estate registration laws, procedures and rules in respect of a  land in the Republic of Armenia assigned for use of the Russian Government.
  • Atomredmetzoloto OJSC (Russia) – a Russian mining company, involved in investment operation and other transactions in Armenia. Services rendered include:
    • Legal assistance in establishing the daughter company in Armenia (Armenian-Russian Mining Company CJSC) in cooperation with UK Prof CJSC (Russia);
    • legal assistance of current activities of Armenian-Russian Mining Company CJSC;
    • negotiations with State authorities;
    • legal assistance on labour and corporate issues.

  • Fonds Boghossian SA (Boghossian Foundation) – a Swiss based company investing in development, landscaping and design of a public park (‘Lovers Park’) in Yerevan and in a number of other activities. Mostly operates in Armenia through its subsidiary and the "Boghossian Gardens" Co. Ltd incorporated in Armenia. Services included:
    • legal counsel on various aspects of execution and implementation of the Contract on Development executed with the Municipality of Yerevan;
    • drafting and execution of development related documents, including but not limited to contract of agency, agreements on borrowing, transfer acts, and other types of legal documentation;
    • day-to-day operation legal consulting, included on aspects related to registration of trademark, launching commercial activities, tax, and financial transactions.
  • Mobile TeleSystems (MTS) OJSC – major (Russian) mobile telecommunication systems operator; currently one of the two mobile operators in Armenia. Services included:
    • due diligence of Armenia Telephone Company (Armentel) CJSC in cooperation with Latham & Watkins LLP and PriceWaterhouseCoopers;
    • due diligence of K-Telecom CJSC in cooperation with Latham & Watkins LLP;
    • legal assistance of share purchase transaction;
    • drafting of charter and internal regulations of K-Telecom CJSC;

  • Castrén & Snellman Attorneys Ltd – top Finnish law firm providing legal services to the ‘Nokia Siemens Networks Services’, a  company operating also in Armenia through a branch. Services included:
    • assessment of legal feasibility of a certain real property transaction in Armenia;
    • provision of legal opinion on the domestic legal aspects of the contract.
  • Knightsbridge Associates C.V. – a UK Management and Business Skills Training Consultancy. Services included:
    • due diligence of Arev SI CJSC;
    • preparation of a legal opinion and assistance in execution of share purchase transaction;
    • preparation of a legal opinion re implementation of transaction, and status of pledge of assets.
  • Ingo Armenia Insurance Company CJSC – Services included:
    • legal counselling and preparation of legal recommendations on corporate, insurance, labour and other legal matters of the company;
    • negotiation with State authorities, as well as preparation and conclusion with the latter of number of agreements.
  • Save the Children Federation Inc USA.  – The largest international foundation acting in protection of children’s rights and improving their living conditions in over 50 countries. Services included:
    • Legal representation of the SC Federation in the Ministry of Justice, the Central Bank of Armenia, and the ‘Kamurj’ Microenterprise Development Charitable Fund (the Founder is SC Federation).
  • Save the Children Netherland Foundation – Services include:
    Legal assistance on the matters related to the registration of a representation in the Republic of Armenia and registration of the representation.
  • The International Research and Exchanges Board (IREX) – a US State Department and USAID funded international nonprofit organization.  Services rendered include:
    • Legal counselling and advisory in financial matters: mortgage loans, asset securitization, funds, transfer of assets and consignation.
    • Drafting of Loan Agreements with the subsidiaries and clients of the Customer, Loan Documents, and Collateral Security Documents. The agreements involved provisions on security of loans and pledge of assets, risk anticipation and risk share, payment of interests, default and claims procedures, client representation and covenants.
    • Procedure for loan extension and servicing has been pursued in cooperation and upon negotiations/arrangement with the banks.
